Terms of Service

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. You represent that all registration information you submit is accurate and that you will keep it up to date.

2. Account Registration & Security

1. Account Creation. You must create an account to access most functionality.
2. Credentials. Keep your login credentials confidential. You are responsible for all activity under your account.
3. Unauthorized Use. Notify us immediately at [email protected] if you suspect unauthorized access. Sage SEO is not liable for losses resulting from compromised credentials.

3. Subscriptions, Fees & Payment

1. Plans. Some features are free; others require a paid subscription or lifetime license ("Plan").
2. Free Trials. Paid Plans may include a free trial (currently 14 days). A valid payment method is required to start a trial; you are charged $0 at signup, and your Plan converts to a paid subscription automatically at the end of the trial period unless you cancel before it ends. You can cancel at any time, fully self-serve, from Settings → Billing. One trial per customer.
3. Billing. Subscription fees (monthly or annual, per your selected billing interval) recur automatically unless canceled before renewal.
4. Payment Processor. All payments are handled by Stripe under its terms.
5. Taxes. Prices exclude applicable taxes.
6. Refunds. Except where an offer (e.g., AppSumo guarantee) states otherwise, payments are non-refundable.

4. License & Acceptable Use

1. Limited License. Sage SEO grants you a non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes.
2. Prohibited Activities. You will not:
   • violate laws or regulations;
   • reverse-engineer or decompile the Service;
   • circumvent usage or API limits;
   • upload malicious code or compromise security;
   • use the Service to create or train competing AI or SEO tools.

5. User Content & Data

1. Definition. "User Content" means data, text, images, prompts, or other materials you upload, submit, or generate.
2. Ownership. You retain all rights to your User Content.
3. License to Us. You grant Sage SEO a worldwide, royalty-free license to host, process, and display User Content solely to provide and improve the Service.
4. Model Training. Unless you opt out via email, we may use aggregated, de-identified usage data to improve model performance.

6. Third-Party Services & APIs

The Service integrates with Google Search Console, Google Analytics, and other APIs. Use of these integrations is subject to each provider's terms. Sage SEO is not responsible for third-party outages or data inaccuracies.

7. Intellectual Property

All software, algorithms, and interfaces are the exclusive property of Sage SEO or its licensors. Except for the limited license in Section 4, no rights are granted.

8. Beta Features & AI Output

1. Beta Features. Items labeled "beta" or "preview" may be unstable; use at your own risk.
2. AI Output. Generated content is provided "as is." You are responsible for verifying accuracy, legality, and originality.

9. Termination

You may cancel anytime in account settings. We may suspend or terminate your access for breach of these Terms or security/legal risk. Sections 4–13 survive termination.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Sage SEO does not warrant uninterrupted or error-free service or that AI output will meet specific goals.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAGE SEO'S TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU IN THE 12 MONTHS PRIOR TO THE CLAIM OR (B) USD 100. SAGE SEO SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION.

12. Indemnification

You will defend and indemnify Sage SEO against third-party claims arising out of your use of the Service, your User Content, or your breach of these Terms.

13. Governing Law & Dispute Resolution

These Terms are governed by Delaware law (excluding conflict rules). Any dispute will be resolved in the state or federal courts of San Antonio, Texas. You consent to personal jurisdiction there. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

14. Changes to These Terms

We may update these Terms by posting a revised version and notifying you at least 10 days in advance. Continued use after the effective date constitutes acceptance.
